Terms of Service

• Service — the OptERP platform, editions, APIs, documentation and this website.
• Customer Data — data, content and records submitted to the Service by or for you.
• Order Form — a written or electronic ordering document referencing these Terms.
• Users — individuals authorised by you to use the Service under your account.

You must provide accurate registration details, keep credentials confidential, and are responsible for all activity under your account. Notify us immediately at info@geofinity.com.np of any unauthorised access. The Service is intended for business use by users aged 18 or older, or the age of majority in your jurisdiction.

Paid plans are billed as described on the pricing page or in an Order Form. Fees are exclusive of applicable taxes and duties. The default currency is Nepalese Rupee (NPR) unless otherwise agreed in writing. Custom Enterprise agreements govern in case of conflict with online pricing.

Unless stated otherwise, subscriptions renew for successive terms equal to the initial term. Fees are non-refundable except where required by law or expressly stated. Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

We may offer free trials or pilots. They are provided “as is” without warranty and may be terminated at any time. Data created during a trial may be deleted after the trial ends unless a paid subscription is activated.

• No unlawful, infringing, defamatory, or harmful content or activity.
• No attempts to breach security, reverse engineer, or disrupt the Service.
• No use of the Service to build a directly competing product.
• No transmission of malware or unsolicited communications.
• Comply with applicable regulations, including healthcare, education and data protection laws.

You retain all rights in Customer Data. You grant Geofinity a limited, non-exclusive licence to host, process, transmit and display Customer Data solely to provide and improve the Service. You are responsible for the lawful basis, accuracy, and appropriate consents for the Customer Data you provide. Our Privacy Policy describes how we process personal data.

Each party will protect the other’s confidential information using at least the same care it uses to protect its own, and will use it only to perform under these Terms.

OptERP, its features, design, source code, logos, trademarks and documentation are the property of Geofinity Solutions and its licensors. No rights are granted except as expressly stated. Feedback you provide may be used by Geofinity without restriction.

The Service may integrate with third-party tools that you choose to enable. Your use of those tools is governed by their own terms and privacy policies; Geofinity is not responsible for third-party services or their availability.

We aim for high availability, but do not guarantee uninterrupted access. Scheduled maintenance and emergency changes may occur, and we will provide reasonable notice where practicable. Enterprise agreements may include a specific service level agreement (SLA) and support tier.

We may suspend access if we reasonably believe there is a security risk, a violation of these Terms, non-payment beyond 30 days, or a legal requirement to do so. We will use reasonable efforts to notify you promptly.

Except as expressly stated, the Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Geofinity disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement and accuracy.

You will defend and indemnify Geofinity against claims arising out of your Customer Data, your use of the Service in violation of these Terms, or your breach of applicable law.

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenues, data or goodwill. Each party’s total aggregate liability for any claim will not exceed the fees paid by you for the affected service in the twelve (12) months preceding the event giving rise to the claim.

These Terms remain in effect while you use the Service. Either party may terminate for material breach not cured within 30 days of written notice. Upon termination, your right to use the Service ends and, unless prohibited, we will make Customer Data available for export for a reasonable period before deletion.

Neither party will be liable for failure or delay caused by events beyond reasonable control, including natural disasters, war, civil unrest, labour actions, internet or utility failures, or acts of government.

These Terms are governed by the laws of Nepal. Disputes will be subject to the exclusive jurisdiction of the courts of Kathmandu, unless mandatory law provides otherwise.

We may update these Terms from time to time. Material changes will be notified in-product or by email. Continued use of the Service after the effective date constitutes acceptance.
